Legal Agreement
These Terms and Conditions constitute a legally binding agreement between you and Vectrix. By accessing our website, enrolling in our courses, or using our services in any capacity, you acknowledge that you have read, understood, and agree to be bound by these terms.
These terms govern all aspects of your relationship with Vectrix, including but not limited to website usage, course participation, payment obligations, and intellectual property rights. If you do not agree with any provision of these terms, you must immediately cease using our services.
We reserve the right to modify these Terms and Conditions at any time. Material changes will be communicated through our website or via email to enrolled participants. Continued use of our services following any modifications constitutes acceptance of the revised terms.
User Obligations and Responsibilities

- • Compliance with Japanese laws and regulations where applicable

2. Prohibited Conduct

3. Content Guidelines

4. Age Requirements

5. Indemnification Obligations

This indemnification obligation will survive termination of your use of our services.
Liability Limitations and Warranties
Disclaimer of Warranties
YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We specifically disclaim all warranties, including but not limited to:
- • Warranties of merchantability, fitness for a particular purpose, and non-infringement
- • Warranties that our services will be uninterrupted, timely, secure, or error-free
- • Warranties regarding the accuracy, reliability, or completeness of content or information
- • Warranties that defects will be corrected or that our services are free of viruses or harmful components
- • Warranties regarding the results that may be obtained from using our services
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VECTRIX, ITS AFFILIATES, OR THEIR RESPECTIVE DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES.
This limitation of liability includes, but is not limited to:
- • Loss of profits, revenue, data, or other intangible losses
- • Cost of substitute goods or services
- • Business interruption or loss of opportunity
- • Damage to professional reputation
- • Claims based on errors, omissions, or inaccuracies in content
- • Personal injury or property damage of any nature
Our total liability to you for all claims arising from these Terms and Conditions shall not exceed the amount you paid to us in the twelve months preceding the claim, or one hundred thousand Japanese Yen, whichever is less.
Exclusion of Consequential Damages
We shall not be liable for any consequential, indirect, exemplary, or punitive damages, regardless of the theory of liability, even if we have been advised of the possibility of such damages. This exclusion applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis.
Force Majeure
We shall not be liable for any failure or delay in performance of our obligations under these Terms and Conditions to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Privacy and Data Protection
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. - 3. Formal Proceedings: If informal resolution fails, disputes shall be resolved through the courts of Tokyo, Japan.
- 4. Language: All dispute resolution proceedings shall be conducted in English or Japanese as mutually agreed.
Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and Vectrix regarding your use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us.
Waiver and Amendment
No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. Any amendment to these terms must be in writing and signed by an authorized representative of Vectrix.
Assignment
These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent. We may assign these terms or any rights under these terms without restriction. Any attempted transfer or assignment in violation of this provision shall be null and void.
Survival
Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
Terms Modification Policy
We reserve the right to modify these Terms and Conditions at any time. When we make material changes, we will:

- • Notify enrolled participants via email when changes materially affect their rights or obligations
- • Provide a reasonable period for review before changes take effect for existing users
