4. Age Requirements

This indemnification obligation will survive termination of your use of our services.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan, without giving effect to any principles of conflicts of law. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tokyo, Japan, for resolution of any disputes arising from these terms or your use of our services.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from these Terms and Conditions:

• 1. Informal Resolution: You agree to first contact us in good faith to attempt to resolve the dispute informally. Many disputes can be resolved through direct communication.
• 2. Negotiation Period: The parties agree to negotiate in good faith for a period of at least 30 days before initiating formal proceedings.
• 3. Formal Proceedings: If informal resolution fails, disputes shall be resolved through the courts of Tokyo, Japan.
• 4. Language: All dispute resolution proceedings shall be conducted in English or Japanese as mutually agreed.

Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other policies or agreements referenced herein, constitute the entire agreement between you and Vectrix regarding your use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, between you and us.

Waiver and Amendment

No waiver of any provision of these Terms and Conditions shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision. Any amendment to these terms must be in writing and signed by an authorized representative of Vectrix.

Assignment

These Terms and Conditions, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent. We may assign these terms or any rights under these terms without restriction. Any attempted transfer or assignment in violation of this provision shall be null and void.

Survival

Provisions of these Terms and Conditions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
